Terms & Conditions

1.Acceptance of Terms

By placing an order or using UBL Bearings’ services, you agree to these Terms & Conditions. No additional terms apply unless agreed in writing by UBL.

2.Orders & Acceptance

All orders are subject to UBL’s written acceptance.

Any modifications not agreed upon in writing by UBL are not binding.

3.Prices & Payment

• Prices are as quoted at the time of order confirmation.
• Shipping and handling charges are extra, unless stated otherwise.
• Payments are due within 30 days of invoice date, unless otherwise specified.
• Overdue payments incur interest at 5% over the Bank of India’s base rate, compounded monthly.

4.Delivery & Risk of Loss

Delivery timelines are estimates. UBL is not liable for delays due to force majeure (e.g., natural disasters, strikes, materials shortages) .

Risk transfers to the buyer once goods leave UBL’s premises (Ex-Works).

5.Title Retention

UBL retains title to the goods until full payment is received. The buyer must promptly notify and return the goods if UBL exercises its right of repossession.

6.Returns & Inspection

• All orders must be inspected upon delivery. Claims for damage or shortfall must be made within 15 days.
• Non-defective returns require UBL’s written approval and may incur a restocking fee of up to 20%.

7.Warranty & Liability

• UBL warrants goods to be free of defects in material and workmanship for one year from shipment.
• Remedies are limited to repair or replacement at UBL’s discretion.
• All other warranties, whether implied or statutory, are expressly excluded.
• UBL’s liability is limited to the original purchase price; UBL is not liable for any indirect or consequential damages ().

8.Force Majeure

UBL is not liable for delays or failures caused by circumstances beyond its control, including acts of nature, government orders, labor disputes, or supply chain disruptions .

9.Confidentiality & IP

• Both parties shall maintain confidentiality of proprietary information.
• UBL retains all intellectual property rights to product designs, drawings, and documentation.

10.Compliance & Export Controls

The buyer is responsible for complying with all applicable export/import, trade, and re-export regulations.

11.Governing Law & Dispute Resolution

• These Terms are governed by the laws of Rajasthan, India.
• Any dispute shall be resolved first via negotiation between senior representatives. If unresolved within 15 days, legal proceedings may be pursued in Jaipur courts .

12.Severability & Waiver

If any provision is deemed invalid or unenforceable, it will be severed without affecting the rest. No waiver of any term applies unless in writing and signed by UBL .

13.Assignment & Subcontracting

Buyers may not assign or transfer responsibilities without prior written consent from UBL.

UBL reserves the right to subcontract its obligations as needed.

14.Amendments

UBL may update these Terms at any time. The latest version will be available on our website. Continued use indicates acceptance of changes .
